Terms & Conditions

Effective Date: 1st of January, 2026

These Terms & Conditions (“Terms”) govern the provision of services by HAYR (“we”, “us”, “our”) to you (“Client”).

1. Services

HAYR provides email and SMS marketing services, including strategy, design, copywriting, campaign execution, automation, and optimization. Specific deliverables are defined in the agreed service scope.

2. Fees & Payment

Services are billed on a monthly, fixed-fee basis unless agreed otherwise. Fees are payable in advance. Late payments may result in service suspension.

3. Term & Cancellation

Services are month-to-month. Either party may cancel at any time with written notice. No refunds are issued for partial months.

4. Client Responsibilities

Client is responsible for:

  • Providing accurate access, data, and approvals

  • Ensuring legal compliance of products, offers, and content

  • Maintaining ownership of email/SMS lists and customer data


5. Performance Disclaimer

We do not guarantee specific results. Marketing performance depends on multiple factors outside our control, including product, pricing, traffic, and market conditions.

6. Intellectual Property

All materials created remain the property of the Client upon full payment, except for HAYR’s proprietary frameworks, processes, and know-how.

7. Confidentiality

Both parties agree to keep all non-public business, technical, and commercial information confidential.

8. Data Protection

HAYR processes data in accordance with GDPR and applicable Lithuanian and EU data protection laws. Client remains the data controller unless agreed otherwise.

9. Limitation of Liability

HAYR is not liable for indirect, incidental, or consequential damages. Total liability shall not exceed fees paid in the preceding 3 months.

10. Governing Law

These Terms are governed by the laws of the Republic of Lithuania. Any disputes shall be resolved in Lithuanian courts.
